1. Acceptance of Terms
By creating an account, accessing the Website, or using the Services, you represent and warrant that:

Stratos Labs provides AI-powered telephone answering and call management services designed for service based companies and other businesses. Our Services include:

24/7 automated telephone answering

Appointment scheduling and calendar integration

Call recording and analytics

Real-time notifications via email and SMS

Integration with third-party business tools

Physical infrastructure and variable enterprise related hardware / software
We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice to active customers.
3. Account Registration and Security
3.1 Account Creation
To use the Services, you must create an account by providing accurate and complete information, including your name, business name, email address, phone number, and payment information.
3.2 Account Security
You are responsible for:

All activity that occurs under your account

Notifying us immediately of any unauthorized access or security breach

Ensuring your account information remains accurate and up to date
We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.
4. Subscription and Payment Terms
4.1 Subscription Plans
Our Services are offered on a subscription basis with various pricing tiers. Current pricing and plan details are available on our Website or by contacting our sales team. Pricing is subject to change with 30 days' notice to existing customers.
4.2 Billing and Payment
By subscribing to the Services, you agree that:

Subscription fees are billed in advance on a monthly or annual basis, as selected during signup

You authorize us to charge your designated payment method for all fees when due

All fees are non-refundable except as expressly stated in these Terms

If payment fails, we may suspend your access to the Services until payment is received

You are responsible for all applicable taxes (sales tax, VAT, etc.) in addition to subscription fees

Stratos Labs reserves the right to implement price increases with 30-days notice to all clients.

Stratos Labs unlimited minutes is subject to change on a case by case basis to prevent abuse, fraud, or loss of revenue. Overage charges can be implemented if abuse, fraud, or intentional waste of service resources is present. Overage charges are calculated independently based on software token consumption and overall uptime rates.
4.3 Free Trials
If you sign up for a free trial, your trial period will last for the duration specified at signup. At the end of the trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends. We will charge your payment method on file when the trial period expires.
4.4 Cancellation and Refunds
You may cancel your subscription at any time through your account dashboard or by contacting us at info@stratoslabs.ai. Cancellations take effect at the end of your current billing period. We do not provide refunds for partial months or unused services, except in cases of material service failure on our part.
5. Acceptable Use Policy
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

Use the Services to violate any applicable laws or regulations

Use the Services to transmit spam, unsolicited communications, or illegal content

Violate the Telephone Consumer Protection Act (TCPA) or other telecommunications laws

Use the Services to harass, threaten, or harm others

Attempt to gain unauthorized access to our systems or other users' accounts

Reverse engineer, decompile, or attempt to extract the source code of our Services

Resell or redistribute the Services without our express written permission

Use the Services in any way that could damage, disable, or impair our infrastructure

Remove or obscure any proprietary notices or branding from the Services

Use automated scripts or bots to access the Services without authorization
We reserve the right to suspend or terminate your account immediately if we determine, in our sole discretion, that you have violated this Acceptable Use Policy.
6. Data Ownership and Privacy
6.1 Your Data
You retain all ownership rights to the data you provide to us and the data generated through your use of the Services, including call recordings, transcripts, customer information, and analytics data ("Your Data"). You grant us a limited license to use Your Data solely to provide and improve the Services.
6.2 Data Protection
We implement reasonable security measures to protect Your Data from unauthorized access, disclosure, or loss. However, you acknowledge that no system is completely secure, and we cannot guarantee absolute security. Our data practices are described in detail in our Privacy Policy, which is incorporated into these Terms by reference.
6.3 Data Retention and Deletion
We will retain Your Data for as long as your account is active or as needed to provide the Services. You may request deletion of Your Data at any time through your account dashboard or by contacting us. Upon termination of your account, we will delete Your Data within 30 days, except as required by law or for legitimate business purposes.
6.4 Call Recording Compliance
You are solely responsible for complying with all applicable laws regarding call recording and consent in your jurisdiction. This may include obtaining consent from callers before recording conversations. Stratos Labs is not responsible for your failure to comply with call recording laws.
7. Intellectual Property Rights
7.1 Our Rights
The Services, including all software, technology, designs, text, graphics, logos, and other content (excluding Your Data), are owned by Stratos Labs or our licensors and are protected by copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our intellectual property without our express written permission.
7.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes in accordance with these Terms. This license terminates automatically upon termination of your account or violation of these Terms.
7.3 Feedback
If you provide us with feedback, suggestions, or ideas about the Services, you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback into our Services without compensation or attribution.
8. Service Level and Availability
8.1 Uptime Commitment
We strive to maintain 99.5% uptime for the Services, calculated on a monthly basis, excluding scheduled maintenance. "Uptime" means the Services are accessible and operational. Scheduled maintenance windows will be announced at least 48 hours in advance when possible. Scheduled maintenance aims to process updates outside of business hours, specifically between 10pm-3am.
8.2 Service Interruptions
We are not liable for service interruptions caused by:

Your internet service provider or telecommunications carrier

Force majeure events (natural disasters, war, terrorism, pandemics, etc.)

Third-party service failures (including our white label technology providers)

Your own equipment, software, or network issues

Scheduled maintenance or emergency repairs

Security incidents or attacks on our systems
8.3 Service Credits
If we fail to meet our 99% uptime commitment in any given month, you may request a service credit equal to 10% of that month's subscription fee. Service credits are your sole remedy for service availability issues and must be requested within 30 days of the outage.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
(a) STRATOS LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(b) OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR $100, WHICHEVER IS GREATER.
(c) WE ARE NOT LIABLE FOR ANY MISSED CALLS, MISSED APPOINTMENTS, LOST BUSINESS OPPORTUNITIES, OR ERRORS IN CALL HANDLING THAT RESULT FROM YOUR USE OF THE SERVICES. YOU ACKNOWLEDGE THAT AI TECHNOLOGY IS NOT PERFECT AND MAY OCCASIONALLY MAKE MISTAKES.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT

WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE

WARRANTIES THAT RESULTS OBTAINED FROM THE SERVICES WILL BE ACCURATE OR RELIABLE

WARRANTIES THAT DEFECTS WILL BE CORRECTED
You acknowledge that you use the Services at your own risk and that we do not guarantee any specific outcomes or results.
11. Indemnification
You agree to indemnify, defend, and hold harmless Stratos Labs, its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

Your use or misuse of the Services

Your violation of these Terms or any applicable laws

Your violation of any third-party rights, including intellectual property rights or privacy rights

Your failure to comply with call recording or telecommunications laws

Any content or data you provide to us or transmit through the Services
12. Term and Termination
12.1 Term
These Terms remain in effect for as long as you access or use the Services.
12.2 Termination by You
You may terminate these Terms at any time by canceling your subscription and ceasing all use of the Services. Termination takes effect at the end of your current billing period.
12.3 Termination by Us
We may suspend or terminate your access to the Services immediately, without notice, if:

You violate these Terms or our Acceptable Use Policy

Your payment fails or your account becomes past due

We are required to do so by law or court order

We reasonably believe your account has been compromised

We decide to discontinue the Services (with reasonable notice)
12.4 Effect of Termination
Upon termination:

Your right to access and use the Services immediately ceases

You remain responsible for all fees accrued prior to termination

We will delete Your Data within 30 days unless you request earlier deletion

Provisions that by their nature should survive (including Sections 6, 7, 9, 10, 11, and 14) will continue to apply
13. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice on the Website at least 30 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must cancel your subscription.
14. General Provisions
14.1 Governing Law
These Terms are governed by the laws of the State of Colorado, without regard to its conflicts of law principles. Any legal action or proceeding arising from or related to these Terms must be brought exclusively in the state or federal courts located in Denver County, Colorado, and you consent to the jurisdiction of such courts.
14.2 Entire Agreement
These Terms, together with our Privacy Policy and any other written agreements between you and Stratos Labs, constitute the entire agreement between you and us regarding the Services and supersede all prior or contemporaneous communications and proposals.
14.3 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
14.4 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.
14.5 Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms to any successor in connection with a merger, acquisition, or sale of assets.
14.6 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including, but not limited to: acts of God, nature, war, terrorism, pandemics, natural disasters, labor disputes, or telecommunications failures.
14.7 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights except as expressly stated herein.
